These Terms & Conditions (“Terms”) govern your use of the RitzzPay Services website (“Website”) located at https://ritzzpay.com. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website.

Use of the Website

a. Eligibility: You must be at least 18 years old to use the Website. By using the Website, you represent and warrant that you are at least 18 years old.

b. Account Registration: In order to access certain features of the Website, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

c. Prohibited Activities: You agree not to:

• Use the Website for any unlawful purpose or in violation of any applicable laws or regulations.
• Impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity.
• Interfere with or disrupt the operation of the Website or servers or networks connected to the Website.
• Attempt to gain unauthorized access to the Website or any accounts, computer systems, or networks connected to the Website.

Any trademarks, logos, or service marks displayed on the Website are the property of RitzzPay Services or their respective owners. You may not use, copy, or reproduce any such marks without the prior written consent of the owner.

Indemnification

You agree to defend, indemnify, and hold RitzzPay Services and its affiliates, officers, directors, employees, and agents harmless from and against any damages, liabilities, losses, expenses, claims, actions, and/or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from:

• Your breach of this agreement;
• Your misuse of the platform, content, and/or the services;
• Your violation of any third-party rights, including without limitation any copyright, trademark, property, publicity, or privacy right;
• Your member content;
• Any claims brought against RitzzPay Services by a third-party partner as a result of your acts or omissions.

We shall provide notice to you of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit, or proceeding. We reserve the right to assume the exclusive defense and control (at your expense) of any matter that is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting our defense of such matter.

Limitation of Liability

In no event shall RitzzPay Services or its affiliates, officers, directors, employees, or agents be liable to you or any third party for any indirect, consequential, incidental, special, or punitive damages arising out of or in connection with your use of the Website or these Terms. Our total liability to you for all claims arising out of or relating to these Terms or your use of the Website shall not exceed the amount paid by you, if any, to us during the twelve-month period prior to the event giving rise to such liability.

Compliance with Applicable Laws

The platform and the services are based in the United States. We make no claims concerning whether the platform, the services, and the content may be viewed or be appropriate for use outside of the United States. If you access the platform, the services, or the content from outside of the United States, you do so at your own risk. Whether inside or outside of the United States, you are solely responsible for ensuring compliance with the laws of your specific jurisdiction.

Interaction with Third Parties

The Services may contain links to third-party websites or services ("Third Party Services") that are not owned or controlled by RitzzPay Services. When you access Third Party Services, you do so at your own risk. You hereby represent and warrant that you have read and agreed to be bound by all applicable policies of any Third Party Services relating to your use of the Services and that you will act in accordance with those policies, in addition to your obligations under this Agreement. RitzzPay Services has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any Third Party Services. In addition, RitzzPay Services will not and cannot monitor, verify, censor, or edit the content of any Third Party Service. By using the Services, you expressly relieve and hold harmless RitzzPay Services from any and all liability arising from your use of any Third Party Service. Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that RitzzPay Services shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that RitzzPay Services is under no obligation to become involved. In the event that you have a dispute with one or more other users or third parties, you hereby release RitzzPay Services, its officers, employees, agents, and successors in rights from claims, demands, and damages (actual and consequential) of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes. RitzzPay Services does not warrant or endorse and does not assume and will not have any liability or responsibility to you or any other person for any Third Party Services, Third Party materials, or websites, or for any other materials, products, or services of third parties.

Annexure - II: Declaration from Buyer / Seller before Initiating any Transaction on RitzzPay Services

Customer/Sender/Buyer confirms satisfactory delivery of goods and/or rendering of services ("Satisfactory Delivery") before payment is initiated and waives all rights to raise disputes on the transaction via RitzzPay Services. The user is, however, free to raise a dispute directly with the seller/receiver. This confirmation shall be obtained as below:

• Pay Utility Bill: Pay your utility bills using a credit card, debit card, or net banking.
• Payment on the Merchant's Account Page (as and when enabled): By making a payment on the merchant’s account page, the user confirms satisfactory delivery.

Merchant/Seller/Receiver confirms satisfactory delivery of goods and/or rendering of services ("Satisfactory Delivery") before accepting payment into his/her account. The merchant/seller/receiver undertakes to provide all documents that may be required by RitzzPay Services and/or its payment gateway to ensure the authenticity of the transaction, to settle disputes, or for whatever reasons RitzzPay Services may require the documents. This confirmation shall be obtained as below:

• Utility Bills: Not applicable.
• Registered Merchant (as and when enabled): By initiating a payment request, the merchant confirms that he/she has already made a satisfactory delivery.

This clause is not applicable for receivers/sellers who are not registered users of RitzzPay Services. This clause should be read in conjunction with the clause titled: RitzzPay Services Cancellation & Refund Policy.

Termination and Suspension

This Agreement shall remain in full force and effect while you use the Services. You may terminate your use of the Services at any time. RitzzPay Services may terminate or suspend your access to the Services or your membership or registration at any time, for any reason, and without warning, which may result in the forfeiture and destruction of all information associated with your membership. RitzzPay Services may also terminate or suspend any and all Services and access to the website immediately, without prior notice or liability, if you breach any of the terms or conditions of this Agreement. Upon termination of your account, your right to use the Services, access the website, and any content will immediately cease. On termination of your account, RitzzPay Services has the right to immediately delete all data, files, and other information stored in or for your account without further notice to you. All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Termination or suspension of this Agreement or your access to the website or Services shall not relieve you of any obligations to pay accrued charges.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India, to resolve any legal matter arising from these Terms.

Severability

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

Entire Agreement

These Terms constitute the entire agreement between you and RitzzPay Services regarding your use of the Website and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter of these Terms.
